Agreement to Terms

By accessing or using the services provided by Buildwithchu ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

Buildwithchu provides custom software development services for small businesses, including but not limited to:

• UI/UX Design
• MVP Development
• Custom web applications
• Internal business tools
• Workflow automation

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project agreement or proposal.

Project Agreements

Each project will be governed by a separate written agreement that outlines:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property ownership
• Revision and change request policies

In case of any conflict between these Terms of Service and a project agreement, the project agreement shall prevail.

Payment Terms

Unless otherwise specified in your project agreement:

• A deposit is required before work begins
• Milestone payments may be required for larger projects
• Final payment is due upon project completion
• Late payments may incur additional fees

Intellectual Property

Upon full payment, you will own the custom software, designs, and code created specifically for your project. We retain the right to:

• Use general knowledge and techniques gained during the project
• Reuse non-custom code libraries and frameworks
• Display the project in our portfolio (unless otherwise agreed)

Client Responsibilities

You agree to:

• Provide timely feedback and approvals
• Supply necessary content, assets, and information
• Make payments according to the agreed schedule
• Designate a primary point of contact for the project

Limitation of Liability

To the maximum extent permitted by law, Buildwithchu shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific project giving rise to the claim.

Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day bug fix period after project completion for issues related to the agreed-upon specifications.

We do not warrant that the software will be error-free or uninterrupted, or that it will meet requirements not specified in the project agreement.

Termination

Either party may terminate a project agreement with written notice. In case of termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work and materials
• Deposits are non-refundable unless otherwise specified

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
